Terms of Use

1. Acceptance

By creating an account or using the Serckl app or website (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and our Privacy Policy.

These Terms form a legally binding agreement between you and Aurtrio LLP (LLPIN: ACZ-3570).

Acceptance is by explicit affirmative action (checking the acceptance box at sign-up). Merely browsing the app does not constitute acceptance. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to create an account or use the Service.
By accepting these Terms, you represent and warrant that you are 18 years of age or older.
If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
We do not knowingly permit users under 18. If we discover an account belongs to a minor, we will terminate it immediately.

3. Description of the Service

Serckl is a local discovery platform that connects consumers with deals, events, and offers from local businesses. The Service allows you to:

Discover and save deals and events posted by local businesses
Claim deals and view offer details
Receive personalised recommendations based on your location and preferences
Subscribe to premium features (where applicable)

The Service is provided on an "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

4. Account Registration and Security

You must provide accurate, complete, and current information during registration.
You are responsible for maintaining the confidentiality of your account and for all activities that occur under it.
You must notify us immediately at hello@serckl.com if you suspect unauthorised access to your account.
We use phone-number OTP for authentication. You are responsible for keeping your phone number secure.
We reserve the right to refuse registration or terminate accounts at our discretion.

5. User Conduct — Prohibited Uses

You must not use the Service to:

Post, upload, or transmit content that is false, misleading, defamatory, obscene, offensive, or unlawful
Impersonate any person, business, or entity
Spam, phish, or send unsolicited communications through the platform
Scrape, crawl, or systematically extract data from the Service without our written consent
Reverse-engineer, decompile, or attempt to extract the source code of the app
Circumvent, disable, or interfere with security features of the Service
Use the Service to facilitate fraudulent deals, counterfeit offers, or deceptive business practices
Access the Service using automated means (bots, scripts) without prior written consent
Violate any applicable law or regulation in India or the jurisdiction in which you access the Service

Violation of any of the above may result in immediate account suspension or termination and, where applicable, referral to law enforcement.

6. Business Content

Serckl allows registered businesses to post deals, events, and offers on the platform. With respect to business content:

Business owners are solely responsible for the accuracy, legality, and completeness of the deals, events, prices, and offers they post.
Aurtrio does not verify, endorse, or guarantee the accuracy of any business listing, deal, or event.
Aurtrio is not a party to any transaction between a consumer and a business facilitated through the platform.
Consumers should verify deal terms directly with the business before acting on them.
Aurtrio reserves the right to remove any business content that violates these Terms or applicable law, without notice.

7. Intellectual Property

Aurtrio's IP: The Serckl brand, app, website, design, software, and all content created by Aurtrio (excluding user and business content) are owned by Aurtrio and are protected by Indian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

User and Business Content: You retain ownership of content you upload to the Service (e.g., profile photos). By uploading content, you grant Aurtrio a non-exclusive, royalty-free, worldwide, perpetual licence to use, store, display, reproduce, and distribute that content solely for the purpose of providing and promoting the Service. You represent that you own or have the necessary rights to grant this licence.

Feedback: Any feedback, suggestions, or ideas you provide to us may be used by Aurtrio without obligation to you.

8. Privacy

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Subscriptions and Billing

Where Serckl offers paid subscriptions or features:

Subscription fees are charged in advance on a recurring basis (monthly or annual) as selected at the time of purchase.
Prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
Subscriptions auto-renew unless cancelled before the renewal date.
Cancellations take effect at the end of the current billing period; no refunds are issued for partial periods unless required by law.
Billing is processed through our payment gateway partner. We do not store your payment card details.
For billing disputes, contact hello@serckl.com within 30 days of the charge.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

Aurtrio is not liable for the accuracy, completeness, or legality of any deal, event, or offer posted by a business on the platform.
Aurtrio is not liable for any loss or damage arising from your reliance on business content posted on the platform.
Aurtrio is not liable for any failure, interruption, outage, data loss, or security incident caused by or originating within a third-party service provider's infrastructure.
Aurtrio is not liable for delays or failures in OTP delivery caused by your mobile carrier or the authentication provider.
Aurtrio is not liable for payment failures, unauthorised transactions, or fraud at the payment gateway level. Payment disputes must be raised directly with the payment processor.
Aurtrio is not liable for any loss arising from force majeure events, including acts of God, internet infrastructure failures, government actions, or events beyond our reasonable control.
Aurtrio's total aggregate liability to you for any claim shall not exceed the amount you paid to Aurtrio (if any) in the 3 months preceding the claim.
Aurtrio is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or goodwill.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aurtrio, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of the Service in violation of these Terms
Content you upload or transmit through the Service
Your violation of any third-party right, including intellectual property or privacy rights
Your violation of any applicable law

12. Third-Party Services

The Service is built on and integrated with third-party cloud infrastructure, authentication, analytics, crash reporting, and payment processing services provided by globally recognised platforms (including but not limited to services offered by Google, Amazon Web Services, Microsoft Azure, and similar providers).

Aurtrio is not responsible for:

Outages, degraded performance, or data incidents originating within a third-party provider's infrastructure
OTP delivery failures caused by the authentication provider or your mobile carrier
Payment failures, declined transactions, or fraud occurring at the payment gateway level — contact the payment processor directly for such disputes
Availability or accuracy of any third-party service integrated into or linked from the Service

The Service may also contain links to external websites. We are not responsible for the content or privacy practices of those external sites. Accessing them is at your own risk.

13. Modifications to the Service and Terms

Service: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
Terms: We may update these Terms from time to time. If we make a material change, we will notify you via an in-app notification at least 7 days before the change takes effect. If you do not agree to the updated Terms, you must stop using the Service before the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.

10. Referral Programme and Coins

Serckl may offer an invite-and-earn programme where you earn in-app coins by inviting friends to join the platform ("Programme"). The following terms apply:

Earning coins: Coins are credited to your account when a person you invited creates a verified account using your unique referral link or code and completes qualifying activity as defined in the Programme terms communicated in-app.
Redeeming coins: Coins can be redeemed against eligible deals, features, or rewards within the Service as described in-app. Coins have no cash value and cannot be transferred, sold, or exchanged for money.
Expiry: Coins expire 12 months after they are credited unless otherwise stated. Expired coins cannot be reinstated.
One account per person: Creating multiple accounts to generate referral rewards is prohibited and will result in forfeiture of all coins and account termination.
Fraudulent referrals: Any referral activity that we determine to be fraudulent, automated, or in violation of these Terms will result in immediate cancellation of the associated coins and may result in account suspension.
Modification or cancellation: We reserve the right to modify the coin values, redemption rules, or eligibility criteria of the Programme, or to discontinue it entirely, at any time with reasonable notice via the app.
No monetary obligation: Aurtrio is not obligated to pay cash or any monetary equivalent for earned coins under any circumstances.

14. Termination

By you: You may delete your account at any time through the app (Profile → Settings → Delete Account) or by emailing hello@serckl.com. Account deletion is subject to our data retention obligations under the Privacy Policy.
By Aurtrio: We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will endeavour to notify you of the reason where practicable.

On termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, liability, indemnification, dispute resolution, and governing law — will continue to apply.

15. Dispute Resolution

Internal resolution: Contact us first at legal@serckl.com. We will attempt to resolve any dispute within 30 days.
Arbitration: If the dispute is not resolved internally, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement.
Courts: If arbitration is not elected or fails, disputes shall be subject to the exclusive jurisdiction of the competent courts in Kerala, India.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of India. The courts of Kerala, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, to the extent not resolved by arbitration.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Aurtrio regarding the Service and supersede all prior agreements and understandings.

19. Grievance Officer

If you have a complaint or concern about the Service or these Terms, you may contact our Grievance Officer. We will acknowledge your complaint within 24 hours and aim to resolve it within 15 days.
